Terms of Service

These Terms of Service (the "Terms") govern your access to and use of KabayanTranslate (the "Service"), operated by Lexcode Inc. ("Lexcode", "we", "us", or "our"). By creating an account, placing an order, or otherwise using the Service, you agree to be bound by these Terms.

These Terms are provided in accordance with the Act on the Consumer Protection in Electronic Commerce (전자상거래 등에서의 소비자보호에 관한 법률), the Framework Act on Consumers (소비자기본법), the Act on the Regulation of Terms and Conditions (약관의 규제에 관한 법률), and related Korean law. Where any provision of these Terms conflicts with a mandatory provision of Korean law protecting you as a consumer, the mandatory provision prevails.

1. Definitions

  • "Service" means the KabayanTranslate website, ordering platform, and the translation and related services we provide.
  • "Member" or "you" means a person who agrees to these Terms and uses the Service.
  • "Order" means a request you submit through the Service for translation or a related service.
  • "Source Material" means the documents, text, files, and instructions you submit to us for translation.
  • "Deliverable" means the completed translation and any related output we deliver to you.

2. Effect and amendment of these Terms

We post these Terms within the Service so that you can review them. We may amend these Terms to the extent permitted by law. If we make a material change, we will announce it within the Service at least 7 days before it takes effect, or at least 30 days in advance together with individual notice where the change is disadvantageous to you. If you do not agree to an amendment, you may stop using the Service and close your account; continued use after the effective date constitutes acceptance.

3. Formation of the translation contract

  • You place an Order by submitting your Source Material and selecting the service, price, and turnaround shown at checkout.
  • A contract is formed when we confirm your Order and payment is received. We may decline or cancel an Order where the Source Material is unlawful, infringing, impossible to process, or otherwise outside the scope of the Service.
  • Prices, turnaround times, and service scope are those displayed at the time of your Order.

4. Payment

You agree to pay the fees displayed for your Order through the payment methods we make available. Payment is processed by third-party payment providers; by paying, you also agree to the applicable provider's terms.

5. Delivery

We deliver the Deliverable electronically through the Service or by the method indicated at checkout, within the turnaround time shown for your Order, subject to timely receipt of complete and legible Source Material.

6. Your responsibilities

You represent and agree that you have the right to submit the Source Material and to have it translated, that doing so does not infringe any third party's rights or violate any law, that the Source Material is the correct, complete, and final version, and that you are responsible for its accuracy, including names, dates, and figures. You will not use the Service for any unlawful, fraudulent, or infringing purpose.

We translate the Source Material as submitted. Issues arising from incorrect, incomplete, illegible, or already-erroneous Source Material are addressed in our Refund & Cancellation Policy.

7. Our responsibilities

We will provide the Service with reasonable professional skill and care, keep your Source Material and Deliverables confidential as described in our Privacy Policy, and handle errors attributable to us as described in the Refund & Cancellation Policy.

8. Intellectual property

  • You retain all rights in your Source Material.
  • Upon full payment, we assign to you the rights in the Deliverable for your intended use. Until payment is made in full, all rights in the Deliverable remain with us.
  • We may retain copies of your Order and Deliverable as necessary for our records, legal compliance, and quality assurance, subject to our Privacy Policy.
  • The Service itself, including its software, design, and trademarks, remains the property of Lexcode or its licensors.

9. Cancellation and refunds

Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms and reflects your rights under Korean consumer law.

10. Personal information

We handle your personal information in accordance with the Personal Information Protection Act (개인정보 보호법) and our Privacy Policy.

11. Disclaimers and limitation of liability

The Service is provided on a commercially reasonable basis. Except as required by law, we do not warrant that a Deliverable will be accepted by any particular third party where acceptance depends on requirements outside our control or on your Source Material.

Nothing in these Terms excludes or limits our liability where such exclusion or limitation is prohibited by Korean law, including liability arising from our intent or negligence. Subject to that, our total liability in connection with an Order is limited to the amount you paid for that Order, except where a greater amount is required by mandatory law.

12. Prohibited use

You must not use the Service to submit unlawful, infringing, or harmful content, to interfere with the Service's operation, or to attempt unauthorized access to our systems.

13. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access where you materially breach these Terms or applicable law, subject to any notice required by law and without affecting Orders already accepted.

14. Governing law and jurisdiction

These Terms and your use of the Service are governed by the laws of the Republic of Korea. Disputes are subject to the jurisdiction of the competent Korean court determined under the Civil Procedure Act and the consumer-protection venue rules of the Act on the Consumer Protection in Electronic Commerce. You may also seek assistance from the Korea Consumer Agency (한국소비자원) or the Electronic Commerce Dispute Mediation Committee (전자거래분쟁조정위원회).
